USA Truck said Thursday it had filed a registration statement with the Securities and Exchange Commission to offer 3 million shares of common stock in a public offering.

Of the shares to be offered, the company will offer 2 million shares, while the selling stockholders, which include Chief Executive Officer Robert Powell and President Jerry Orler, will offer 1 million shares.

Powell also granted the underwriters an option to purchase up to an additional 450,000 shares to cover an over-allotment.

USA Truck is ranked No. 62 on the Transport Topics 100 listing of U.S. and Canadian for-hire carriers.
