BlueLinx Holdings has expanded its western U.S. footprint with the $96 million acquisition of Disdero Lumber Co., an Oregon distributor of premium specialty wood products.

The deal, funded with cash on hand, reflects BlueLinx’s continued push into the Pacific Northwest and its growing focus on high-margin specialty offerings. Adjusted for about $8 million in expected tax benefits, the transaction carries a net value of around $88 million. BlueLinx said the acquisition will not materially affect its liquidity or leverage ratio and is expected to be immediately accretive to earnings.

Marietta, Ga.-based BlueLinx distributes a broad range of building and industrial products through its network of distribution centers. It ranks No. 63 on the Transport Topics Top 100 list of the largest private carriers in North America and No. 7 on the building materials sector list.

Based in Clackamas, Ore., Disdero has operated since 1953 as a value-added distributor of clear lumber and distinctive wood architectural elements. Its products are used primarily in high-end residential, custom deck and upscale multifamily and commercial construction projects, reaching customers in nearly every U.S. state. The company was previously owned by privately held Tumac Lumber Co.

“This acquisition continues our Western expansion and is expected to serve as a catalyst for growth by using our existing distribution network to offer Disdero’s premium specialty products to many of our customers not currently served by Disdero,” said Shyam Reddy, president and CEO of BlueLinx. “We also plan to leverage our national footprint to serve and expand their existing business as a key component of BlueLinx’s strategic growth initiatives.”

The move builds on BlueLinx’s recent efforts to strengthen its presence in the Pacific Northwest. Earlier this year, the company opened a new greenfield distribution center in Portland, Ore., and previously acquired Vandermeer Forest Products, a Washington-based distributor.

Disdero’s product line is composed entirely of specialty wood materials known for their clarity and appearance, a niche that complements BlueLinx’s broader product catalog.

“We are very excited to join BlueLinx and expect to take the successful Disdero business to the next level,” said Ryan Kline, president and CEO of Disdero.
